Terms and Conditions

SGIP Paris, a limited liability company , listed in the Registre du Commerce et des Sociétés de Paris, RCS Paris B 331 663 575, and headquartered 75009 Paris,Nom commercial : SERVICIMMO, allows the Members of the Jean de Vignay Invest internet site to consult and/or advertise confidential and “off market” products (herein again referred to as the "Service") in the form of a private internet platform. These terms and conditions may be supplemented by specific conditions under each section

Article 1: Acceptance of the Terms and Conditions of this site

Access to the Service is given to Members subject, to the Users acceptance of the present Terms and Conditions of the jdv-invest.com Website. A User may become a Member by filling out the Member registration form.  Before filling in the registration form to become a Member of the Jean De Vignay Invest Platform the User accepts the present Terms and Conditions in its entirety without any reserve.  SGIP reserves the right to refuse any person or entity Membership to the jdv-invest.com platform. 

The Service is exclusively reserved to those who are legally able to enter into contract under French law.

The Platform is translated into English in order to enable international use and exposure of the product advertisements, therefore products advertisements and publicities may be submitted in both French and/or English languages in accordance to the wishes of the Member.

The platform will enable dissemination and international acknowledgement of the product advertisements for both buyers and sellers.  Any disputes between the  platform and a Member will depend on the competent court of Paris.

The Platform jdv-invest.com reserves the right to modify all or any part of the present Terms and Conditions at any time without prior notice.

It is the responsibility of the Member to consult the Terms and Conditions of the Jean De Vignay Invest Platform on a regular basis to become aware of any amendments or modifications.

The Member is deemed to accept the latest version at each new connection to the Service.
In the case of non respect by the Member of the present Terms and Conditions and/or any modifications thereof, jdv-invest.com reserves the right to refuse access to the Service without prior notice.

The Terms and Conditions in French prevail the English version.

Article 2: Description of the Service

The service allows for Members to submit product advertisements, searches and consult product advertisements submitted by other Members in the following categories: Residential and Commercial Real Estate, Art; Yachting and Investments.  These submissions will be uploaded on the jdv-invest.com private platform subject to the respect of the present Terms and Conditions.  The Service allows for its Members to submit and consult product advertisements free of charge which are specifically qualified as confidential* and “off market” **

* “Confidential: Products not diffused by any other media, Internet,; Intranet, newspapers, magazines, radio or television for which the advertiser and/or his/her adviser is subject to and calls for the utmost confidentiality.

**Off Market: Confidential product advertisements or searches that have been registered with jdv-invest.com but are not visible to other Members.  These Off Market products are only consultable on approval of the Member who has submitted the Product advertisement to another selected Member or Members and under strict protocol.  For more information, please contact information@jdv-invest.com.

The Service is intended for registered Members who have access to consult product advertisements and searches.  These products and searches have been uploaded on the jdv-invest.com Website under the sole responsibility of the Member who is the author of the product or search advertisement whether it is the owner of the product, or buyer, broker or adviser whom has been legally mandated to conduct in negotiations on behalf of the owner.. SGIP takes into account the desire for discretion with regards to the identity of the Members, therefore for reasons of confidentiality, only a minimum amount of information is authorized for product advertisements. On the other hand a “minimum amount of information” does not imply no information.  Only certain points that may give away the identity to the product shall be reworked so that both the product and/or the owner of the product shall not be identifiable.   Only the internal Services of SGIP shall have access to the true identity of the product, owner, broker or adviser. 

It is therefore highly recommended to fill out the submission forms by taking into consideration the examples which can be found at the upper right hand corner of each category.  The Member should include a maximum number of elements in order to incite interest in the product (especially in cases of products for sale) that are technically essential and accurate while at the same time do not reveal the identity of the product or owner. 

After verification and validation of the submission, the product for sale or searches shall be uploaded onto the site.
 

Article 3: Submitting ads

3.1. The Product Advertisements are initially written by the Members of the Service who are responsible for the contents of the Product Advertisement.  The Product Advertisements will verified for compliance and subject to approval by jdv-invest.com before posting the Product Advertisement on the platform. To avoid any delays in posting, jdv-invest.com invites Members to verify their Product Advertisement when first submitting and to comply with a maximum amount of required information in the different sections.  As mentioned in Article 2, examples of submission forms can be found in the upper right hand corner of each category.

3.2. The Member may submit a Product Advertisement by completing the submission form available online. The confirmation and submission of this form does not validate the Product Advertisement.  It is only when both the Product and its depositaries have been thoroughly authenticated that the Product Advertisement will be posted on the jdv-invest.com platform. The Member reserves the right of retraction during the verification process.

3.3. Product Advertisements which are in the process of being validated by jdv-invest.com may be subject to proposed amendments by jdv-invest.com. The Product Advertisement will only be posted online when a final agreement between the Member and jdv-invest.com regarding the content of the Product advertisement. In the event of any disagreements, jdv-invest.com reserves the right to refuse the posting any Product advertisement without recourse.

3.4. At any time the user may ask to change or delete the product advertisement by sending an e-mail to : information@jdv-invest.com. All cancellations are final.

Once a Product advertisement has been listed on the jdv-invest.com Website, the Member/User agrees to respect the present general conditions for a period of 3 months non-divisible

3.6. Each Member will be given an access code which may be periodically changed to preserve the user's anonymity as well as the products. These codes will be the only form of identification and shall be changed when two or more Parties have formally agreed to be put into contact with regards to a particular business deal or in the event that jdv-invest.com deems necessary.

3.7. Members are informed that only advertisements with the following characteristics will be accepted on the platform and this in regards to all represented categories:

Article 4 Eligible Product Advertisements

Product Advertisements shall respond to the following conditions:

• Be confidential or “Off Market”**
• Under a Purchase or Sellers Mandate.
• Products for sale must be exclusively advertised on jdv-invest.com. After a minimum diffusion of 90 days the Product Advertisement may be deleted by the Member who has submitted the Product Advertisement.
• The Product Advertisement may be renewed only once for an additional 90 days (minimum) by contacting the information@jdv-invest.com.
• The minimum amount for Residential and Commercial real estate, Yacht and Investment categories must be greater than or equal to 1 million Euros.
• Taking into account the diversity of the ART category the minimum amount must be greater than or equal to 100 000.
• It is possible to obtain derogation for a Product depending on its interest and only at the sole discretion of jdv-invest.com
  
  

Off Market*: The same requirements apply to Off Market Products but these products are not visible to other Members of the jdv-invest.com site.  These products are only for private showings which are organized at the request of the seller. 

Article 5: Membership charter

The Member agrees that the information posted on the platform:

• Is accurate and true;
• Respects the copyright, patent law, trademark law in general, all intellectual property rights;
• Does not infringe any law or regulation (including, and not limited to, those governing export control, consumer protection, unfair competition, discriminatory practices or false advertising);
• To promptly produce any element requested by jdv-invest.com with regards to the Members product as well as the Members credentials to have the right to sell or purchase a said product.

Article 6: Responsibility.

Texts of submissions are the Member's sole responsibility. jdv-invest.com is only a media support for the Product advertisements posted. The Member undertakes to compensate jdv-invest.com and SGIP for any damages suffered on this count and ensures jdv-invest.com against any action based on the Product advertisements posted. Product advertisements are edited and submitted under the sole responsibility of the respective author.  A Member who has submitted a Product advertisement which contains any false statements to jdv-invest.com shall be legally responsible for its conduct and will be liable to any legal or criminal lawsuits if the Member is found guilty.

The platform jdv-invest.com assumes no responsibility for the quality, security or legality of the items listed, the truth or accuracy of the Product advertisemets, the ability of sellers to sell the said Product or Service or the capacity of the buyer to pay for the said goods or services.

Notwithstanding the foregoing, jdv-invest.com reserves the right to refuse any Product advertisement for which the nature, the text or presentation appear to be contrary to its moral or commercial interests with no justification whatsoever.

The Member undertakes to guarantee against and compensate jdv-invest.com for any damages, loss, loss of profits, claims, liability and expenses that jdv-invest.com may incur. If jdv-invest.com has been found liable, because of an action or a complaint from a third party, subsequent to the submission of a Product advertisement which is in violation of the rules contained in these Terms and Conditions, the Member agrees to allow jdv-invest.com to disclose all or part of the content provided by the use of the Service.

Article 7: Limitation of Liability

jdv-invest.com strives to maintain the servicing of Product advertisements in an operational state. However, it is an obligation of means and Jdv-invest.com offers no guarantee that the continuous operation and/or continuity of the service could be provided.

As such, jdv-invest.com will not be held responsible in cases of deficiency which may exist or damage (costs, lost profits, loss of data or damages direct or indirect) which might arise from the use of Service by the Member, or an inability to access the site. jdv-invest.com shall not be held responsible, directly or indirectly,.

Article 8: Submitting a Product advertisement or request 

Submitting a Product advertisement or request is free for all Members of jdv-invest.com under the condition that all credentials are provided.
According to Article 26 of the law "Informatiques et Libertés", the user is informed that the information collected as part of the service is required for its proper functioning. The user has a right of access, modification, cancellation and opposition to the sale of its data. The user can exercise this function by sending a letter by e-mail to: information@jdv-invest.com.

Article 9: Miscellaneous Provisions

Members agree to immediately notify jdv-invest.com if the announcement is no longer valid and jdv-invest.com will take the necessary steps to remove it. During the publication of the product advertisement, the Member may request a change by mail or e-mail. Product advertisements shall not be posted for an unlimited period of time. Members are informed that Product advertisements shall be automatically removed after a 3 month period (90 days) regardless of its status. In the absence of a response to 3 consecutive messages from jdv-invest.com, a Product advertisement shall be removed. Any claim or dispute must be submitted in writing to the following address: information@jdv-invest.com. This contract is subject to French law. In the event of a dispute with a Member/User on the interpretation or enforcement of any provision of this contract, and failing agreement between the parties, the courts of Paris shall have sole jurisdiction
